The rules for using DeterminX

Terms of Use

Effective Date: October 21, 2026

These Terms of Use ("Terms") govern your use of DeterminX, our mobile application, our website, and related services (collectively, the "Service"). These Terms are a contract between you and Pyronis Inc. ("Pyronis," "we," "us," or "our"), located at 800 East Campbell Road, Richardson, TX, USA.

By creating an account, downloading the app, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please also read our Privacy Policy, which describes how we handle information.

1. Who We Are; The Service; Eligibility

1.1 Who we are: DeterminX is a private AI chat application developed and operated by Pyronis Inc., a U.S. company. Conversations in the Service are processed using open-source AI models running on our own servers, and are protected by end-to-end encryption. We do not read, store, or recover your conversations. The Privacy Policy explains exactly what that means.

1.2 You are talking to an AI: The Service is an AI chat application. Responses are generated by AI models, not by people, and the app makes this clear during use.

1.3 Eligibility: You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18.

1.4 Accounts: You create an account using Sign in with Apple. You agree to provide accurate account information and to keep it current. You are responsible for all activity under your account and for keeping your account credentials secure. Notify us promptly at support@pyronis.com if you become aware of any unauthorized access to your account. Sign-in and authentication are substantially handled by Apple under Apple's own terms.

1.5 Your keys and your device: Two different keys are involved in the Service, and they are not the same thing. Your conversation key is generated on your device, stored in your device's keychain, and locks and unlocks the encrypted database on your device that holds your conversation history and other app data. It is never provided to us, and we cannot detect, revoke, or reissue it. Your service key is the account credential that gives your account access to our AI models: we generate it for your account, it expires at the end of your paid period, and we block, revoke, or delete it based on your account standing (see the Privacy Policy, Section 3.7). If you lose your conversation key or your device without a usable backup, neither we nor Apple can recover your conversations. This is a deliberate feature of the Service's design, but it means we cannot provide "restore my chats" support.

2. How the Service Works (Privacy by Architecture)

2.1 Encrypted, ephemeral processing: Your messages and the AI's responses are encrypted end-to-end. On our servers, they exist only in working memory (VRAM and RAM). Caching is performed in working memory to make later responses faster. Cache contents never flow to disk. At any moment, the cache holds recent processing state, never an archive of conversations. See the Privacy Policy, Section 5, for a full description.

2.2 What we do not do: We do not read, store, moderate, or recover your conversation content. No person at Pyronis sees anything you discuss. See the Privacy Policy, Section 3.3.

2.3 Model behavior is not monitoring: If the AI includes crisis hotline information or refuses a request, that is the model's own behavior, triggered by automated processing in the response path. It does not mean anyone at Pyronis detected anything, was notified, or will ever know it happened. See the Privacy Policy, Section 5.3.

2.4 No training: We never train, fine-tune, or improve any AI model on your conversations ever, for any purpose.

2.5 Web search: The Service includes a web-search capability that is on by default. You may turn it off for any individual message. By using the Service with web search enabled, you acknowledge and agree that: (a) the AI generates a search query based on your message, which may repeat some or all of your words; (b) that query is sent to one of our search providers, to retrieve results from the public web; and (c) each search provider's terms and privacy policy govern their handling of that query (Brave: https://safe.search.brave.com/help/privacy-policy; Parallel: https://parallel.ai/privacy-policy). Your conversation itself (your full message and the model's response) is never transmitted to any third party. See the Privacy Policy, Section 6.

3. Your Content and Ownership

3.1 Definitions: "Inputs" means the messages and other content you submit to the Service. "Outputs" means the responses the Service generates to your Inputs. Inputs and Outputs together are your "Content."

3.2 You own your Content: As between you and Pyronis, and to the extent permitted by applicable law, you retain all rights you hold in your Inputs, and you own your Outputs. Pyronis disclaims any rights it receives in your Content under these Terms, and assigns to you all right, title, and interest it may have in Outputs.

3.3 Narrow processing license: You grant Pyronis a limited license to process your Inputs to generate and return your Outputs. We do not take any license to use your Content for training, research, product improvement, or any other purpose, and we never hold your Content long enough to do so.

3.4 Your responsibilities: You are responsible for your Content and for your use of Outputs. You represent and warrant that you have all rights, licenses, and permissions needed to submit your Inputs to the Service, and that your Inputs do not violate any applicable law or these Terms.

3.5 Outputs may not be unique: Due to the nature of AI, Outputs may not be unique, and other users may receive similar responses for similar Inputs.

4. Acceptable Use

4.1 General: You may use the Service only in compliance with these Terms and all applicable laws.

4.2 Prohibitions: You may not, and may not assist anyone else to:

Use the Service for any unlawful purpose, or in a manner that infringes or violates the rights of any third party, including intellectual property, privacy, and publicity rights;

Generate or distribute child sexual abuse material, including any visual depiction or textual description involving the sexual exploitation or abuse of a minor, or any content that sexualizes minors, whether real or computer-generated;

Facilitate self-harm or suicide, including generating instructions, encouragement, or methods for self-harm, suicide, or disordered eating; provided that accessing or discussing support resources, or seeking help in a crisis, is not a violation of these Terms;

Facilitate terrorism or mass violence, including generating instructions, plans, or substantial assistance for the creation or use of weapons, explosives, or chemical, biological, radiological, or nuclear agents, or for attacks targeting civilians or critical infrastructure;

Generate instructions for weapons or illegal substances, including instructions for manufacturing, modifying, or acquiring weapons or explosives, or for synthesizing controlled substances;

Generate or distribute malware or cyberattack tools, including code, instructions, or substantial assistance for exploits, phishing, credential theft, denial-of-service attacks, or other unauthorized access to any computer system or network;

Create or distribute non-consensual intimate imagery, including sexual or nude images of real, identifiable persons, whether real or computer-generated, and whether or not the person is depicted as consenting;

Threaten, harass, or dox others, including using the Service to create content that threatens, harasses, or defames any person, or to compile, reveal, or distribute another person's private personal information without their consent;

Generate or promote violence, including instructions, encouragement, or glorification of violence against any person;

Impersonate or deceive, including generating content that impersonates a real person or organization in a manner likely to deceive, or facilitating fraud, scams, or financial manipulation;

Abuse our infrastructure, including circumventing rate limits, attempting to disrupt or overload our servers, probing or testing the security of our systems without authorization, or attempting to break, bypass, or defeat the Service's encryption;

Reverse engineer, decompile, or disassemble the Service, or use automated means (bots, scripts, scrapers) to extract data or Output from the Service in bulk;

Train competing models. You may not use Outputs from the Service to train, fine-tune, or distill any machine learning model;

Share your account credentials or your service key with anyone else, or make your account available to another person;

Represent that Output was human-generated when it was not.

4.3 Enforcement: Because we architecturally cannot read your conversations, we do not and cannot monitor Content. We enforce these Terms through technical usage signals (such as request rates and volumes associated with your service key) and through externally observable conduct. We reserve the right to restrict your usage and access to the Service, including by throttling, suspending, or terminating it, if we reasonably believe you have violated these Terms, or if we reasonably suspect malicious intent (for example, distillation, botting, or other automated abuse). If we restrict your access, we will provide notice where practicable, and you may appeal by contacting us at support@pyronis.com.

5. Output Disclaimers; Reliance Limits

ARTIFICIAL INTELLIGENCE IS PROBABILISTIC AND ITS OUTPUTS ARE NOT ALWAYS ACCURATE. WHEN YOU USE THE SERVICE, YOU ACKNOWLEDGE AND AGREE THAT:

Outputs may be inaccurate,: and may contain material inaccuracies even if they appear accurate because of their detail or specificity;

Do not treat Outputs as a sole source of truth: or as a substitute for professional advice, including legal, medical, financial, or other professional advice;

You must evaluate Outputs for accuracy and appropriateness for your use case including using human review where appropriate, before relying on or sharing them;

Do not use Outputs relating to a person for any purpose that could have a legal or material impact on that person such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them;

Outputs may contain content inconsistent with the views of Pyronis, and references to any third party do not mean the third party endorses or is affiliated with us;

When web search is enabled, Outputs may incorporate or summarize content from third-party websites. We do not control or verify that content, and your use of information from third-party websites is subject to those websites' terms.

6. Subscriptions, Fees, and Billing

6.1 Purchases through Apple: Some features of the Service require a paid subscription. All purchases are processed through Apple's App Store. Apple's terms govern all payment, billing, renewals, and refunds. You make payment to Apple, not to us, and Apple's payment and refund policies apply instead of these Terms. We never receive your payment details. See the Privacy Policy, Section 3.2.

6.2 Subscriptions: Subscriptions renew automatically through Apple until you cancel. You can view, manage, and cancel your subscription at any time through your Apple ID subscription settings or in the app. Cancellation takes effect at the end of the current billing period.

6.3 Fee changes: We may change our fees from time to time. If we increase the fee for your subscription, we will give you at least 30 days' advance notice, and any increase will take effect at your next renewal date, so you can cancel before it applies.

6.4 No direct refunds: Because all payments are handled by Apple, requests for refunds must be directed to Apple under Apple's terms. We do not issue refunds directly.

6.5 Usage limits: Usage of the Service is measured in rolling windows (for example, five hours, one day, and one week). Each window has a usage limit. When you reach a limit, your access to the Service pauses until that window resets. The app shows your current usage and when each window resets. We may change these limits over time; for changes that materially and adversely affect you, we will follow the notice process in Section 6.3.

7. Third-Party Elements

The Service uses or interacts with services and software provided by third parties, including Apple (sign-in, payments, iCloud backup) and our search providers (currently Brave Search and Parallel) when web search is enabled. We do not control and are not responsible for these third parties. Your use of them is at your own risk and subject to their terms, conditions, and policies, including their privacy policies. Links in the Service to third-party websites are provided for convenience and do not imply our endorsement.

8. Privacy

We handle information as described in our Privacy Policy. In short: we hold your name, your email address, your subscription status, your acceptance of our notices, your account credentials (Section 3.7 of the Privacy Policy), and content-free usage records. We never train AI models on your data, nor do we persistently retain conversation data for any purpose. Support communications may also be retained if you contact us (Section 3.9 of the Privacy Policy). Please read the Privacy Policy in full.

9. Termination and Suspension

9.1 By you: You may stop using the Service at any time and may delete your account through the app or your Apple ID settings. We will delete the account information we hold within 30 days. Important: Deleting your account does not by itself cancel any App Store subscription you purchased. To stop subscription charges, you must cancel your subscription separately through your Apple ID subscription settings (Settings → \[your name\] → Subscriptions on iOS, or through the App Store). Cancelling your subscription does not delete your account, and deleting your account does not cancel your subscription — you may need to do both.

9.2 By us: We may suspend or terminate your access to the Service, with notice where practicable, if we reasonably believe you have breached these Terms, or where we are required to comply with law. There may be urgent situations where providing advance notice is not feasible.

9.3 Effect of termination: Upon termination, your right to use the Service ends. Your conversation history lives on your device, so there is nothing for us to delete or return. Deleting your account does not by itself delete the copies stored on your device; delete them from within the app or by removing the app. One record survives deletion: your acceptance of these Terms and our Privacy Policy, which we keep as described in the Privacy Policy, Section 9.

9.4 Survival: Sections 3 (as to Content already used), 5, 6, 10, 11, 12, and 13 survive termination.

10. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE (AND OUR SUPPLIERS AND LICENSORS) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PRIVACY, COMPATIBILITY, AND NON-INFRINGEMENT, AND ANY WARRANTY IMPLIED BY COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES OR CERTAIN TYPES OF DAMAGES, SO SOME OR ALL OF THE DISCLAIMERS IN THESE TERMS MAY NOT APPLY TO YOU.

11. Limitation of Liability

11.1 Exclusion of certain damages: TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS (COLLECTIVELY, THE "PYRONIS PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING DAMAGES FOR LOST PROFITS, GOODWILL, USE, OR DATA — ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF FORESEEABLE.

11.2 Cap on liability: TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE PYRONIS PARTIES' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE SIX MONTHS PRECEDING THE DATE THE CLAIM FIRST AROSE, OR (B) ONE HUNDRED DOLLARS ($100).

11.3 Essential basis: These limitations are essential to these Terms, and we would not offer the Service to you under these Terms without them.

11.4 Third-party beneficiaries: Apple, our search providers, and our suppliers and licensors are intended third-party beneficiaries of Sections 10 and 11.

11.5 Loss of data: We do not hold your conversation content, so we cannot be liable for losing it. You are responsible for backing up your device and safeguarding your conversation key (see Section 1.5).

12. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE PYRONIS PARTIES FROM AND AGAINST ANY LIABILITIES, CLAIMS, DAMAGES, EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES), AND OTHER LOSSES ARISING OUT OF OR RELATED TO: (A) YOUR BREACH OR ALLEGED BREACH OF THESE TERMS; (B) YOUR ACCESS TO, USE OF, OR ALLEGED USE OF THE SERVICE OR YOUR CONTENT, INCLUDING ANY USE OR PUBLICATION OF OUTPUTS; (C) YOUR VIOLATION OF ANY APPLICABLE LAW OR ANY THIRD-PARTY RIGHT; AND (D) YOUR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR CRIMINAL ACTS.

We may engage separate counsel and participate in or assume control of the defense of any matter subject to indemnification, in which case you agree to cooperate reasonably with us and that counsel.

13. General Terms

13.1 Changes to the Service: We may modify, add, remove, or discontinue features of the Service, or discontinue the Service itself. We will strive to give reasonable advance notice of significant changes, though urgent situations may not allow it. We will not be liable for any change to, suspension, or discontinuation of the Service.

13.2 Changes to these Terms: We may update these Terms. For changes that materially and adversely affect you, we will give you at least 30 days' advance notice by email or in the app, and continued use after the change takes effect means you accept it. Changes made solely to comply with law take effect immediately upon notice. If you do not accept updated Terms, stop using the Service. Changes will never apply retroactively.

13.3 Legal compliance: We comply with governmental, court, and law enforcement requests where legally required. Our compliance can reach account information, technical usage records, and support communications (as described in the Privacy Policy).

13.4 Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

13.5 Export controls: You may not use, export, or re-export the Service except in compliance with all applicable U.S. and foreign laws, including U.S. sanctions and export control laws. The Service may not be used by or for the benefit of anyone in a U.S.-embargoed country or on any U.S. restricted-party list.

13.6 Notices: We may provide notices to you electronically by email to the address associated with your account, or through the app. Communications sent that way satisfy any requirement for legal notice.

13.7 No agency: These Terms do not create any agency, partnership, joint venture, or employment relationship between you and us.

13.8 No waiver: Our delay or failure to enforce any provision is not a waiver of our right to enforce it later.

13.9 Severability: If any provision of these Terms is invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.

13.10 Use of our brand: You may not use our name, logo, or trademarks without our prior written permission, except to identify the Service accurately.

13.11 Entire agreement: These Terms, together with the Privacy Policy (which is not itself part of these Terms but which you should read), form the entire agreement between you and us regarding the Service, and supersede all prior agreements and understandings on that subject.

14. Dispute Resolution

14.1 Informal resolution first: Before either you or Pyronis initiates arbitration or files a claim in court (other than a claim properly brought in small claims court or a request for equitable relief under Section 14.8), we each agree to try to resolve the dispute informally. You agree to notify us of the dispute by emailing support@pyronis.com with a description of your claim; we will do the same by emailing the address associated with your account. If we cannot resolve the dispute within 60 days after notice, either of us may proceed with formal dispute resolution as described below. Any statute of limitations will be tolled during this 60-day period.

14.2 Binding arbitration: Any dispute arising out of or relating to the Service or these Terms that is not resolved informally will be resolved exclusively by final and binding arbitration before a single arbitrator (except as provided in Section 14.6), administered by JAMS under its Optional Expedited Arbitration Procedures then in effect (the "Rules"), except as provided in this Section 14. JAMS may be contacted at www.jamsadr.com, where the Rules are available. In the event of any conflict between the Rules and this Section 14, this Section 14 will control. The arbitrator, and not any federal, state, or local court or agency, will have exclusive authority to resolve any dispute relating to the scope, interpretation, applicability, enforceability, or formation of this Section 14, including any claim that all or any part of it is void or voidable.

14.3 Opting out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing us at support@pyronis.com with your full legal name and a clear statement that you intend to opt out of arbitration. If we later update these arbitration terms, you may opt out of the updated terms within 30 days after the update takes effect, in which case the previously agreed arbitration terms will continue to apply. Opting out does not affect any other part of these Terms, including the governing-law provision in Section 14.9.

14.4 Arbitration procedures: The arbitration will be conducted by videoconference wherever possible. If the arbitrator determines that an in-person hearing is necessary, it will take place in Dallas County, Texas, unless you and Pyronis agree otherwise. The arbitration will be conducted by a single neutral arbitrator qualified and appointed in accordance with JAMS's Optional Expedited Arbitration Procedures. Any judgment on the award rendered may be entered in any court of competent jurisdiction.

14.5 Fees and costs: Pyronis will not seek attorneys' fees or costs in arbitration unless the arbitrator determines that your claim is frivolous. If you are using the Service for personal, non-commercial purposes, you may apply for a fee waiver from JAMS, and the arbitrator may award you your arbitration costs, reasonable attorneys' fees, and reasonable expert and witness costs.

14.6 Batch arbitration: If 25 or more claimants represented by the same or similar counsel file demands for arbitration raising substantially similar disputes within 90 days of each other, then the claims will be administered in batches of up to 50 claimants each. Each Batch will be administered as a single consolidated arbitration with one arbitrator, one set of arbitration fees, and one hearing held by videoconference or in Dallas County, Texas. If any part of this Section 14.6 is found to be invalid or unenforceable as to a particular claimant or Batch, it will be severed and arbitrated in an individual proceeding.

14.7 Class action and jury trial waiver: You and Pyronis agree that disputes must be brought on an individual basis only. You and Pyronis knowingly and irrevocably waive any right to a trial by jury in any action, proceeding, or counterclaim, and any right to bring, join, or participate as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding of any kind. Class arbitrations, class actions, and representative actions are prohibited. Unless we agree otherwise, the arbitrator may not consolidate more than one person's claims, may award relief only to an individual claimant, and only to the extent necessary to provide relief on that individual's claims. Any relief awarded may not affect other users.

14.8 Exceptions: This Section 14 does not require informal resolution or arbitration of: (a) individual claims properly brought in small claims court, so long as the matter remains in such court and proceeds on an individual basis; and (b) claims by Pyronis for injunctive or other equitable relief to stop unauthorized use or abuse of the Service or actual or threatened breach of Section 4 (Acceptable Use), which may be brought in any court of competent jurisdiction, without proving actual damages or posting a bond.

14.9 Severability; public injunctive relief: If any part of this Section 14 is found to be illegal or unenforceable, the remainder will remain in effect — except that if a finding of partial illegality or unenforceability would allow class arbitration, a class action, or a representative action, this entire Section 14 will be unenforceable in its entirety. Notwithstanding the foregoing, if the waiver in Section 14.7 is found unenforceable because it would prevent you from seeking public injunctive relief, any dispute regarding entitlement to such relief (and only that relief) must be severed from arbitration and may be litigated in a civil court of competent jurisdiction, with litigation of that dispute stayed pending the outcome of any individual claims in arbitration.

14.10 Governing law; residual court jurisdiction: These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs the interpretation and enforcement of this Section 14. The state and federal courts located in Dallas County, Texas will have exclusive jurisdiction over: (a) any claim not subject to arbitration under this Section 14; (b) enforcement of the informal-resolution, opt-out, and equitable-relief provisions; (c) any challenge to the validity or enforceability of this Section 14 or the class waiver in Section 14.7; and (d) any action to enforce, vacate, or modify an arbitration award, including any proceedings in the event this Section 14 is found unenforceable in its entirety.
